goeasy Ltd. Canadian Shareholder Class Action

Summary

This is a proposed securities class action against goeasy Ltd. (TSX: GSY), certain of its current/former directors and officers, and the independent auditor of its annual financial statements. It alleges that during the class period, the defendants systematically misrepresented the financial health, credit performance, and accounting practices of goeasy’s LendCare business.

On March 10, 2026, goeasy issued a news release revealing massive credit losses, including an anticipated $178 million incremental charge-off tied to its LendCare business. The news release also disclosed that goeasy’s historical reporting practices had improperly recorded certain customer payments as received while still settling at month-end, forcing the company to restate past financial disclosures dating back to 2024.

The restatement of past financials was released on March 31, 2026, confirming, inter alia, that goeasy had systematically misrepresented to investors the true quality, delinquency rate, and credit performance of its loan portfolio, as well as how much of its consumer loans were past due and by how long, thereby artificially suppressing its expected credit losses.

Upon release of these disclosures, the artificial inflation in goeasy’s share price was removed, causing the stock to decline declined nearly 73% between March 9 and April 10, 2026.

Class Membership Criteria

This proposed class action is brought on behalf of:

• all persons or entities, other than the Excluded Persons, who acquired goeasy’s securities at any time during the period from April 30, 2021 to March 31, 2026, inclusive (“Class Period”), and held some or all of those securities through any of the corrective disclosures released on September 22, 2025, November 5, 2025, March 10, 2026, and March 31, 2026.
